Generally, if a supplier has trouble getting paid and wants to recover its goods, materials and plant, it cannot do so without a suitable Retention of Title (‘ROT’) clause allowing it to do so. If the supplier seeks to enter the buyer’s premises without permission, the supplier may face criminal charges for ‘breaking and entering’. Similarly, even with access, if the supplier in seeking to recover goods or materials leaves any damage to a building or premises, then it may also face ‘criminal damage’ charges.
